1. Agreement to These Terms
These Terms of Service ("Terms") form a binding agreement between you and TBD: legal entity name ("FML Genie," "we," "us," or "our") and govern your access to and use of the FML Genie platform, including our website, web application, mobile interfaces, APIs, and any related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
If you are accepting these Terms on behalf of your family, you represent that you have the authority to do so and to bind the family members you add to your workspace.
2. Eligibility
To create an FML Genie account, you must:
- Be at least 18 years old (or the age of majority in your jurisdiction).
- Be legally capable of entering into a binding contract.
- Not be prohibited from using the Service under applicable law.
- Not have been previously suspended or removed from the Service.
Family members under 18 (Teens, Children) may use the Service only when added to a family workspace by a parent or legal guardian, who is responsible for their use.
3. Account Creation and Security
- You must provide accurate, complete information when creating your account.
- We use magic-link and OAuth authentication. You are responsible for keeping your authentication channels (email account, Google account) secure.
- You are responsible for all activity that occurs under your account, including activity by family members and external helpers you invite.
- Notify us immediately at kirkmeldrum1@gmail.com if you suspect unauthorized access.
4. Family Workspaces and Roles
The Service organizes users into family workspaces with the following roles:
- Family Admin: The person who created the workspace. Has full control over members, settings, billing, and data.
- Parent Member: A co-parent or co-guardian with full operational access.
- Teen: Limited access to their own assigned tasks.
- Child: Highly limited, simplified access to assigned tasks only.
- External Helper: Time-bounded access for caregivers, tutors, babysitters, etc.
The Family Admin and Parent Members are responsible for:
- Verifying that everyone added to the workspace consents to participation (or has parental consent if a minor).
- Configuring appropriate permissions for each role.
- Managing the workspace responsibly, including the data of minors and external helpers.
5. Subscription Plans and Billing
During the private beta, the Service is offered free of charge. We may offer paid plans in the future (such as Free, Plus, and Family Cloud).
- Free plan: Provided as-is, with limits on features, storage, AI usage, or family size.
- Paid plans (when offered): Will be billed monthly or annually as described at signup. Fees are non-refundable except where required by law.
- AI usage: Some plans may include limits on AI agent usage. Exceeding limits may incur additional charges or feature restrictions, which will be disclosed in advance.
- Taxes: You are responsible for any applicable taxes.
- Price changes: We will give at least 30 days' notice of any price change. Changes apply at your next renewal.
- Cancellation: You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Upload content that is illegal, abusive, harassing, defamatory, sexually explicit (especially involving minors), or that infringes another person's rights.
- Use the Service to surveil, stalk, or harm any person, including family members.
- Misrepresent your identity or impersonate any person.
- Attempt to access another family's workspace or data.
- Attempt to disable, circumvent, or interfere with security features.
- Reverse engineer, decompile, or extract the source code of the Service (except where law expressly permits).
- Use automated tools (bots, scrapers, crawlers) to access the Service in a way that exceeds normal human use, except via documented APIs.
- Resell, sublicense, or commercially exploit the Service without our written permission.
- Use the AI agents to generate content that violates these Terms or applicable law, including disallowed content under our LLM providers' policies.
We reserve the right to suspend or terminate accounts that violate these rules.
7. Your Content
7.1 Ownership
You retain all rights to the content you create or upload to the Service ("Your Content") — including tasks, notes, reminders, vault documents, attachments, and AI conversation inputs.
7.2 License to Operate the Service
You grant us a limited, non-exclusive, royalty-free, worldwide license to host, store, process, transmit, sync, display, and back up Your Content solely for the purpose of operating, providing, and improving the Service for you and your family. This license ends when you delete Your Content or your account, except for residual backup copies (purged per our Privacy Policy) and where retention is required by law.
We do not use Your Content to train third-party AI models without your explicit consent.
7.3 Responsibility
You are solely responsible for Your Content. You represent that you have the rights to upload and share it and that it does not violate these Terms or any third party's rights.
7.4 AI-Generated Content
The Service uses AI agents to generate suggestions, plans, summaries, and similar outputs. You may use AI-generated content for personal family purposes. Be aware that:
- AI outputs may be inaccurate, incomplete, or inappropriate. Always verify important information, especially health, financial, legal, and safety-related guidance.
- AI outputs are not professional advice.
- We make no warranty as to ownership of AI-generated content; ownership and copyright of AI outputs vary by jurisdiction.
8. Our Intellectual Property
The Service, including its software, design, branding, and documentation, is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial family use, subject to these Terms.
You may not copy, modify, distribute, sell, or lease any part of the Service except as expressly permitted.
9. AI Agents and Third-Party Services
The Service includes AI agents powered by third-party LLM providers via OpenRouter.
- AI agents are tools to assist you, not substitutes for professional advice (medical, legal, financial, psychological, etc.).
- AI outputs may contain errors, omissions, or content you find objectionable.
- We are not liable for decisions you make based on AI outputs.
- Use of third-party services through the Service is subject to those services' terms.
10. Service Availability and Modifications
- We work to keep the Service available, but we do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, outages, or events outside our control.
- We may modify, suspend, or discontinue features at any time. Where reasonable, we will give you advance notice for material changes affecting paid features.
- Beta features are clearly identified. Beta features may change rapidly, contain bugs, or be removed entirely.
11. Data Export and Deletion
- You may export your family's data at any time through Settings → Family Settings → Export my data (JSON format).
- You may delete your account at any time. Data deletion timelines are described in our Privacy Policy.
- Upon termination of your account, you remain responsible for any obligations incurred before termination.
12. Termination
- By you: You may stop using the Service and delete your account at any time.
- By us: We may suspend or terminate your account if you violate these Terms, if your use creates legal or security risk, or if we discontinue the Service. Where practical, we will provide notice and an opportunity to export your data.
- Sections that by their nature should survive termination (Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution) will survive.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION.
WE DO NOT WARRANT THAT:
- THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
- AI AGENT OUTPUTS WILL BE ACCURATE, RELIABLE, OR APPROPRIATE FOR YOUR SITUATION.
- DATA SYNC WILL BE INSTANT OR FREE OF CONFLICTS.
- THE SERVICE WILL MEET YOUR FAMILY'S SPECIFIC NEEDS.
YOU USE THE SERVICE AT YOUR OWN RISK.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.
- OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) TBD: USD liability cap.
THESE LIMITATIONS APPLY EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow these limitations; in those cases, our liability is limited to the maximum extent permitted by law.
15. Indemnification
You agree to indemnify and hold harmless FML Genie, its affiliates, and its personnel from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of:
- Your use of the Service.
- Your Content.
- Your violation of these Terms.
- Your violation of any law or third party's rights.
- Decisions you or your family members make based on AI agent outputs.
16. Governing Law and Disputes
These Terms are governed by the laws of TBD: governing-law jurisdiction, without regard to conflict-of-law principles.
Before filing any formal claim, you agree to first contact us at kirkmeldrum1@gmail.com and attempt to resolve the dispute informally for at least 30 days.
If the dispute is not resolved, the parties agree to the dispute-resolution mechanism described in TBD: dispute-resolution mechanism (courts vs binding arbitration). You and we agree that any dispute will be resolved on an individual basis; class actions and class-wide arbitration are not permitted to the extent allowed by law.
17. Changes to These Terms
We may update these Terms from time to time. When we do, we will:
- Update the "Last Updated" date.
- Notify you of material changes via email or in-app notification.
- Give you at least 30 days' advance notice for material changes affecting paid features.
Continued use after changes take effect means you accept the new Terms. If you do not agree, you may stop using the Service and delete your account.
18. Miscellaneous
- Entire Agreement: These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- No Waiver: Our failure to enforce a provision is not a waiver of that provision.
- Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force Majeure: Neither party is liable for failures caused by events beyond reasonable control (natural disasters, war, internet outages, government actions, etc.).
- No Agency: No partnership, joint venture, agency, or employment relationship is created by these Terms.
